TERMS OF CONNECTION TO THE TSEK SYSTEM
(TIRESIAS RISK CHECKING SYSTEM)
PREAMBLE
The company under the corporate name “BANK INFORMATION SYSTEMS S.A.” trading as “TIRESIAS S.A.” with registered office in Marousi, Attica, 2 Alamanas Street (Tax Reg. No 094498725 KE.FO.DE. Attica, G.E.M.I. Reg. N. 002594101000 ) (“TIRESIAS”), with a view to protect the good faith and consolidate the financial transactions, as well as to provide information relating to the economic behaviour in order to ensure, in general, the trade credit, the reliability and security of transactions and, finally, the exercise of the right to economic freedom of the entrepreneurs, keeps a file with the following information (“Information” or “Data”) that regard, among others, the economic behaviour of legal entities:
- Bounced cheques
- Bills of exchange and promissory notes unpaid at their expiry
- Applications for bankruptcy – Judgements rejecting bankruptcy applications because the debtor does not have sufficient assets
- Applications and judgements on consolidation (art. 99 et seq. of Law 3588/2007 and art. 31 et seq. of Law 4738/2020)
- Declared bankruptcies
- Orders for payment & Eviction Orders
- Immovable property auctions
- Movable property auctions
- Mortgages and prenotations of mortgage
- Prenotations converted to mortgages
- Seizures of immovable properties and registration of cheques pursuant to Legislative Decree 1923
- Filings for debt adjustment and discharge and debt adjustment judgements (Law 3869/2010)
- Corporate data from the Government Gazette (GG) and the General Electronic Commercial Registry (G.E.MI.)
The information of the aforementioned file (“TSEK File”) is derived from the Default Financial Obligation System (DFO) and the Mortgages and Prenotations to Mortgages System (MPS) of TIRESIAS, the sources of which are the credit and financial institutions, the website of Unified Social Security Institution (E.F.K.A.) - Lawyers’ Insurance Fund (TAN), the Land Registry/Cadastral Offices and the Magistrates Courts/First Instance Courts/Administrative Courts of Appeal throughout Greece. The Government Gazette (GG) and the General Electronic Commercial Registry (G.E.MI.) are sources of the corporate data.
Access to the information is available electronically, following a specific document and justified request, via the “Tiresias Risk Checking System” (hereinafter referred to as “TSEK System” or “TSEK Service” or “TSEK Platform”), to traders and, in particular, to natural or legal persons or groups of persons within the meaning of the Hellenic Civil Code engaged in commercial, industrial, craft, farming or other business in the territory of Greece, in the context of which they do business on credit and they are considered to undertake the relevant trading/credit risk, and, thus, it becomes necessary for them to check the solvency of their counterparties and, therefore, they have a clear legitimate interest in accessing this specific service.
TIRESIAS, under the explicit prejudice to those defined below, undertakes to provide the applicant (“Customer”) with access to the aforementioned Information registered in the TSEK File up to the day preceding the day of access, as well as to the rest of the described herein services, in accordance with the terms and conditions set out below.
DEFINITIONS
Within the framework of the present Terms of Connection, the below terms have the respective meanings:
Information
The information extracted from the Government Gazette, the General Electronic Commercial Registry (G.E.MI.), the Default Financial Obligation System (DFO) and the Mortgages and Prenotations to Mortgages System (MPS) of TIRESIAS, the sources of which are the credit and financial institutions, the website where the auctions of Unified Social Security Institution (E.F.K.A.) - Lawyers’ Insurance Fund (TAN) are published, as well as the Land Registry/Cadastral Offices and the Magistrates Courts/First Instance Courts/Administrative Courts of Appeal throughout Greece, concern the economic behaviour of the legal persons and are described in PREAMBLE. The above mark up and comprise the TSEK File.

Economic Unit
The legal person, to whom the Information refers, which is then referred to, in the singular or plural form, with the initials “E.U.”.
TSEK System or TSEK service or TSEK Platform or system or service or platform
It is the present online web service to access the TSEK File and use the offered functions.
Use of the TSEK System
Access to the TSEK System and the Information provided through it.
Web Officer
The person (or persons) specifically authorised by CUSTOMER for the management of the TSEK System on its behalf.
Activation Date
The date of confirmation of payment of the package as a whole or the date of confirmation of payment of the first instalment in accordance with the provisions of the pricing policy of TIRESIAS, before which the TSEK System cannot be used.
Privacy
Any information relating to an identified or identifiable natural person (“Data subject”).
Solvency Ranking
The Solvency Ranking of an E.U. is based on its Credit Behavior Score, which is produced by the Credit Behavior Scoring System develop by TIRESIAS and aims to provide an overall and accurate assessment of credit risks and the probability of default. The Credit Behavior Score is based on the data listed at a given point in time in the Default Financial Obligation System (DFO), the Mortgages and Prenotations to Mortgages System (MPS) and the Credit Consolidation System (CCS) of TIRESIAS. The Solvency Ranking is dynamic and changes whenever the data related to the E.U. under consideration is updated.
INFORMATION
- The functions of the TSEK System that are available to the users are outlined in detail on the website https://tsek.teiresias.gr and include at least the possibility of search and view of Information for a specific E.U., as well as automatic alerts in case new Information is added to a selected E.U.
- The Information relates solely and exclusively to legal entities and does not constitute personal data, in accordance with the legislation of personal data, and consequently the distribution of that information does not fall within the provisions of said legislation. The Customer acknowledges and accepts that, if he/she asks to receive Information that does contain personal data, he/she must comply in full with the applicable European (Regulation EU 2016/679) and national legislation, as well as with the special terms of the data provision contract of TSEK File for natural persons that need to be concluded with TIRESIAS.
- TIRESIAS may, at any time, extend, limit or remove the Information and/or its individual services and systems, providing the Customer with reasonable notice of this electronically. In case that the Customer asks in writing the termination of his/her connection, within one month from his/her notification regarding the aforementioned extension/limitation/removal, as well as his/her interest-free refund of the lower of either: a) the portion of purchase price paid and corresponding (equally distributed) over the remaining period up to completion of the 12-month period (package cost X remaining in days/365) or b) the unused price.
- The Customer acknowledges that the Information is freely assessed thereby, at their discretion, and is made available thereto by TIRESIAS for informational purposes only and does not in any way motivate or prevent from making a particular transaction and should not constitute or be considered as a financial and/or other advice from TIRESIAS to the Customer. Especially with regard to the provision of data by companies from the Government Gazette and GEMI (including balance sheet data), it is expressly agreed that this is done for the convenience of the Customer and trade and does not substitute, under any circumstances, the checking of the authorisation or the audit of financial data of the legal entity by the Customer. TIRESIAS does not guarantee under any circumstances the accuracy, correctness and completeness of the data, nor is it responsible for the calculation of indicators produced on the basis of incorrectly published financial data.
- The Customer and its agents will use the Information in strict confidence and shall comply with the applicable legislation on the use of Information.
- The way and method of collecting, classifying, processing and presenting the content of the Information belong solely to TIRESIAS, which retains all rights thereon.
- The Customer expressly declares and acknowledges that TIRESIAS shall not in any way be held liable towards them for compensation for any reason, nor is it obliged to make good any direct or consequential damages related to or resulting from the use of the Information, whereas the Customer owes to pay to TIRESIAS anything the latter pays to a third party as compensation or penalty due to the use of the Information in violation of applicable law and the terms hereof.
- Information is subject to constant updating and are constantly changing. It is therefore clear that they only apply at the time of completion of the search, and their use at any other time does not in any way guarantee its accuracy at that time, and in any case TIRESIAS has no responsibility whatsoever.
- Taking into account the mode of operation of the sources (courts, land registries, etc.), from which the Information is derived and the associated institutional or objective constraints, including the measures in force to address the coronavirus COVID-19 pandemic, TIRESIAS does not guarantee the universality of the sources, the completeness, the accuracy and the complete identification of the Information with the legal entities the Information relates to, and bears no liability in this regard under any circumstances. However, it makes a systematic effort to achieve, as much as possible, the coverage of the sources, the completeness of the Information and their identification with the persons to whom they relate.
ACCESS AND OPERATION
- Customers may access the Information and recover it from the File solely and exclusively for their own use, for the sole purpose of assessing and/or reassessing the assumed trading/credit risk as part of the business activity. It is prohibited to publish, transmit, reproduce, distribute, resell and in general make the Information available ‘as is’ without TIRESIAS’ prior written consent.
- The Information will be available to the Customer upon specific request for a particular E.U. chosen by the Customer based on his/her legitimate interest and as part of the trading relationship on credit with the specific counterparty on a dashboard of the TSEK system with current and historical data (data up to 10 years), as well as with the beneficiary and the cause, for which the payment order has been issued, and the development of the data (indications regarding repayment, cancellation, opposition and other supplements). The connection will be made via the Internet, and the required equipment (Internet connection, browser, etc.) is the sole responsibility and expense of the Customer. Accessibility to Information via TSEK is provided daily from 08:00 to 21:00.
- The results of each search come from the combination of the data entered into the system by its Customer or user as specific as possible and those included in the File. Furthermore, it is possible that the Information may have become outdated or may no longer be valid, etc. However, TIRESIAS is not made aware of this. In both cases, TIRESIAS bears no liability in this regard.
- The Customer expressly declares and warrants that he/she is the sole responsible for the Information he/she receives on the IPs, through which he/she has requested or will request access, to be available exclusively to himself/herself, and he/she has taken all appropriate technical and organisational measures to that end.
- Throughout the business days and hours, the functionality of the TSEK System is monitored by technicians who, in the event of a technical problem, make every effort to restore its proper functioning.
- From Monday to Friday (except for any public holidays) during business hours (9:00-16:00), TIRESIAS operates a help desk, with the phone number +30 210 3676700, that provides every kind of support to the Customer.
- With the request for electronic connection to the TSEK service, the Customer has already designated a Web Officer. There can be up to a maximum of three (3) system Administrators. Customer’s access to the File is done through users authorised by each Web Officer of the Customer, up to a maximum of fifty (50) per Web Officer, by using username and password. Similarly, with the responsibility and actions of the web officer, it is possible to replace or disable its authorised users. Web Officers can access the File as other authorised users. The Customer, by way of a written statement signed by himself/herself or his/her legal representatives, may appoint the (first out of 3/original) Web Officer. Any Web Officer may terminate, replace, or designate a new user or users or Web Officers by using the TSEK System functionality available thereto. All actions or omissions of the Web Officers and/or users that have been assigned are binding upon the Customer.
- Usernames and passwords are strictly personal and specifically identify the user. The Customer is obliged to ensure that the users authorised by him/her keep their usernames and passwords safe and that they do not allow or facilitate in any way any access to them or any direct or indirect leaks to third parties. Accordingly, any access to the File with a specific password is deemed to have been made by the person to whom it belongs, and any responsibility is assumed solely by the Customer.
- The Customer will take all necessary measures so that Information be only used by its authorised users, who are subject to a confidentiality obligation and are bound by the present terms. In this context, the Customer undertakes to promptly disable users and/or Web Officers who cease to perform the duties under which access, under the present terms, forms part (e.g. due to termination, resignation, transfer, availability, long term leave, etc.).
- Every access to the File shall be recorded electronically in a specific way and personalised by user in the TIRESIAS information system, so that the provision, for any reason, of proof to the Customer of Information is based on the relevant reports in the TIRESIA information system, which will be complete proof of access.
- TIRESIAS shall systematically check the use of passwords by their holders and reserve the right, for the purpose of securing and protecting the File, to discontinue the use of passwords or even delete them when such use may pose a risk to the File, as in case passwords that are not used for a long time, or when passwords are not used for a long time. In any such case, TIRESIAS shall inform the Customer in writing in advance about the discontinuation of the use or the deletion of the relevant passwords, unless security reasons require ex-post information.
- The Customer may not, in any case, be expressly and indiscriminately banned from intervening in the Archive or in any way modifying or altering the Information obtained therein. Any attempt to interfere with the File constitutes an illegal act that results in immediate discontinuation of the Customer’s access to the File, regardless of his/her other responsibilities, for which TIRESIAS reserves its rights.
PRICING – PAYMENT – USAGE PACKAGES
- To access Information, the Customer shall pay TIRESIAS a fee in advance, depending on the usage package chosen, which can be distributed to the TSEK System’s user, in any way whatsoever considered by the Customer, as set out thoroughly at the link https://tsek.teiresias.gr/en/billing/pricelist . The charge is inversely proportional to the usage.
- The usage package chosen can be paid for by credit/debit card or by remittance or by IRIS payments as described at the aforementioned link. After successful completion and verification of the transaction, an e-mail shall be sent to the Customer.
- Exceptionally and at the sole discretion of TIRESIAS: (a) if the CUSTOMER selects the 11th, 12th or 13rd usage packets, payment can be made in part in two (2) equal instalments, (b) if the CUSTOMER selects the 14th or a larger usage packets, payment can be made in part in four (4) equal installments, the first instalment being paid as referred to above, and each of the subsequent instalments being paid upon spending ½ or ¼ of the usage packet, respectively. In any case, activation of any subsequent package cannot be made before full payment of all previous usage packages.
- The selected number of searches must be performed within a period of twelve (12) months from the date of the usage package activation. Any searches left at the end of that period cannot be carried forward, and after the elapse of that period the Customer may not perform a new search, unless a new package is purchased. Exceptionally, it is possible to extend the use time of the purchased packet by three months, if at the end of the 12-month period a percentage exceeding 80% of the total purchase amount has been used. In this case, the available balance must be used within the next calendar quarter.
- Failure to pay in due time implies the non-access to the File or the immediate discontinuation of access to it. The amount due will automatically become due and payable and will bear the statutory interest on late payment based on the applicable default interest rate, with the expiry of that date only, without the need to notify the CUSTOMER. Reconnection is possible after full payment of outstanding debts, and the time of discontinuation in this paragraph shall not increase the remaining time of use.
- Each Customer’s user shall have access to each of the usage packages. That balance shall be updated and displayed to users automatically in real time, and is counted from the relevant system operated by TIRESIAS, and the relevant measurements of that system are considered to have full probative value, allowing for counter-evidence to be provided by document which must contain all details and which must be accompanied by all relevant documentation. Documents disputing the measurements of the above TIRESIAS system shall be submitted within three (3) working days of the transaction being disputed, without suspending the obligation to pay the consideration in due time. The lapse of that time limit makes pricing final and uncontested. In the event of providing valid counter-evidence, TIRESIAS must return to the Customer the amount unduly paid interest free.
- TIRESIAS reserves the right to modify the pricing method as well as to adjust the prices contained in the link https://tsek.teiresias.gr/en/billing/pricelist by modifying and replacing them with newer ones. The applicable TIRESIAS service invoice and the current usage packages will be posted to the present electronic address of TSEK, through which the CUSTOMER is informed. It is understood that, in this case, usage packages that have already been purchased but have not been repaid and/or used shall not be affected and shall be subject to the prices and pricing applicable at the time of their purchase.
PROMOTING THE TSEK SYSTEM TO THE CUSTOMER FROM BANK
- The Customer may be connected to the TSEK system following a promotional action with the Bank.
- TIRESIAS does not, in any case, interfere with the relationship between Bank and Customer. However, the support and overall management of TIRESIA’s relationship with the Customer connected through the Bank shall be exclusively and entirely made by TIRESIAS, without any distinction whatsoever compared to other customers.
- It is explicitly agreed and fully understood that the Bank only promotes the TSEK service to its Customers and in no case it will obtain access to the Information transmitted to them or to the type and number of searches they make. The Customer shall acquire direct connection with the TSEK system of TIRESIAS without any other involvement of the Bank except for the submission thereby of a request for temporary connection to a bank and/or subscription, if the Customer so wishes and after prior notification by the Bank.
- The Bank shall not be held liable whatsoever towards the Customer in relation to the provision of the services related to TSEK by TIRESIAS, as well as in relation to the operation, maintenance and use of TSEK, as well as to the Customer’s access through the TSEK to the Information.
Instant Credit ID
- The Customer may, through the TSEK Platform , request the issuance of a brief report (Instant Credit ID Report), which depicts the Solvency Ranking and the financial data derived from TIRESIAS’ database at the time of issuance and in particular data listed in the Default Financial Obligations System (DFO), the Mortgage and Prenotations to Mortgages System (MPS) and the Credit Consolidation System (CCS) related thereto, as resulting from the combination of the details stated upon accessing the TSEK Platform. The Instant Credit ID report shall be issued using a unique access code (T_CODE), which is also generated through the TSEK Platform. Please note that any announcements added the E.U. of the Customer are not depicted in the Instant Credit ID report.
- Since the Instant Credit ID report does not substitute the exercise of the right of access, in order to provide a detailed report of the data deriving from the above database concerning the Customer and/or the exercise of the other rights provided according to the legislation for the protection of personal data, the Customer recognizes and accepts that contact with TIRESIAS in writing is required therefor.
- The Instant Credit ID report and T_CODE received by Customers shall be confidential and granted thereto for any legal use in their sole discretion.
- The Customer acknowledges and accepts that the Web Officer(s) may have access to the data listed in the above TIRESIAS database concerning the Customer through the Instant Credit ID report and T_CODE.
- The Customer acknowledges that the disclosure of T_CODE to third parties including the TSEK Platform users (as well as the provision of a copy of the Instant Credit ID report) implies their access to Customer’s data and is equal to providing relevant consent for their processing by third parties.
- The provision of the Instant Credit ID report (and T_CODE) is debited to the usage package, in accordance with the applicable TIRESIAS price list. Debiting shall also occur in cases where no E.U. is found or the E.U. found does not have data.
- T_CODE is valid for 7 days from the date of issue. Within this period, the same Instant Credit ID report may be reproduced up to three (3) times. Each Instant Credit ID report has a timestamp of issue.
- In case T_CODE is lost, misplaced or stolen it is possible to cancel the issued on by selecting the appropriate option on the TSEK Platform screen. In this case, it is possible to issue a new T-CODE on the next calendar day. Please note that issuing a new T_CODE requires the previous one to be canceled, if it is still active. All access codes (T-CODES) issued (canceled and non-canceled) are displayed on the History of My Requests Instant Credit ID screen.
- If there is data transmission prohibition or restriction on processing in the E.U. of the Customer, a relevant notice shall be displayed at the end of the Instant Credit ID report.
- The Customer acknowledges that it may not be possible to print the Instant Credit ID report. In this case, contact with TIRESIAS is required.
AUTOMATIC DATA EXPLANATION (FASTSEK) & SCORECARD ADAPTED
- The Customer may, through the TSEK Platform request (a) the automated (application to application) provision of data indication (YES/NO) based on specified criteria/input filters specified by him/her, and (b) the ranking of such data (as they result from the application of the above ranking criteria based on the ranking parameters he/she again sets (scorecard adapted).
The input filters, specified by the Customer, are applied per category of data (individually or in combination) and concern (a) a number of items; (b) a total amount of the items in the category; (c) a period of time (in years). The ranking of E.U. data is a number from 1-5 (with decimal subdivisions), where 1 is the lowest value and 5 is the higher value based on the following configuration: (a) total amount of E.U. data; (b) time elapsed from the most recent data; (c) the existence of completed data; and (d) the existence of data falling within the procedures of the Bankruptcy Code, etc.
- Access to the FASTSEK service is made by designating an appropriate user through the administrative environment of the TSEK Platform by the Customer web officer.
- Detailed terms and conditions for the connection and use of the FASTSEK service are outlined in the Connection and Use Guide which is provided to the Customer upon utilization of uses this specific service.
- The Customer expressly declares and warrants that (a) he/she is the sole responsible for the IP through, which he/she has requested or will request access to the above data; (b) the data is available to himself/herself; and (c) he/she has taken all appropriate technical and organisational measures for to ensure the above.
AUTOMATED DATA ACCESS VIA WEBSERVICE (TSEK APP)
- The Client may, through the TSEK Platform, request automated access to the data contained within the TSEK File via Webservice (TSEK APP service).
- Access to the TSEK APP service is made by designating an appropriate user through the administrative environment of the TSEK platform by the Customer web officer.
- Detailed terms and conditions for connection and use of the TSEK APP service are outlined in the Connection and Use Guide which is provided to the Customer upon utilization of this specific service.
- The Customer expressly declares and warrants that (a) he/she is the sole responsible for the IP through, which he/she has requested or will request access to the above data; (b) the data is available to himself/herself; and (c) he/she has taken all appropriate technical and organisational measures for to ensure the above.
SECTOR FINANCIAL DATA
- The Customer may have access, through TSEΚ Platform, to the sector financial data service, in the context of which he can search for the sector data of: a) a company, b) any sector of the greek economy and c) a group of up to ten (10) companies of his choice. Description of the service is given at the following link: https://tsek.teiresias.gr/en/services/FinancialIndicators
- Sector financial data are produced exclusively from the data contained in the files created by TIRESIAS after indexing the published financial statements in the General Commercial Registry (GEMI) or the websites of companies and provided that TIRESIAS has obtained the principal activity code (KAD) of the company. The activity codes are drawn from public sources. The above files are updated constantly. TIRESIAS does not guarantee the accuracy, correctness and completeness of the files and sectors.
Sector financial data of last available 2 years are displayed per sector and per year, provided that the number of indexed by TIRESIAS balance sheets of the companies with available KAD, for the searched subsector, is >=10. Only the data of the reference fiscal year is used for the production of the sector financial data. The codification of sectors follows the National Classification of Economic Activities 2008 with the subsequent additions.
- The Customer acknowledges that the information provided through the sector financial data service is freely assessed thereby, at his discretion, and is made available thereto by TIRESIAS as it is, without any guarantee of any kind in terms of accuracy, completeness or suitability for a specific purpose and this information is available for informative purposes only and does not in any way motivate or prevent from making a particular transaction and should not constitute or be considered as a financial and/or other kind of advice from TIRESIAS to the Customer and does not substitute, under any circumstances, the audit of financial data of the legal entity by the Customer.
TSEK Bi SERVICE
- Through the TSEK Platform, the Customer may access the TSEK Business Index Service (TSEK Bi Service), in order to request and receive for any lawful own use within the scope of the Customer’s professional activity, the estimation of probability of default index for a specific enterprise.
This index is generated using statistical models developed by TIRESIAS, based exclusively on the published numerical data of the enterprise’s balance sheet and its principal Activity Code Number (KAD), and reflects the estimated probability of defaulting on the obligations of the enterprise over the next twelve (12) months through ranking on a scale from 1 to 9. As the ranking of the enterprise approaches grades 1 to 3, the probability of defaulting on its financial obligations decreases, whereas as the ranking approaches grades 7 to 9, the probability of defaulting on the enterprise’ s financial obligations increases. In order to facilitate the Customer’s assessment of the index, up to three (3) main reasons for its formation are provided, as they arise exclusively from the data of the financial statements of the enterprise.
The aforementioned statistical models are generated in accordance with internationally recognized practices and they are systematically reviewed and updated.
Furthermore, through the TSEK Bi Service, the percentage distribution of enterprises within the same industry is provided on a scale of 1-9, along with balance sheet details of the subject enterprise.
- Information obtained through TSEK Bi Service is freely assessed by the Customer at his sole discretion and TIRESIAS bears no responsibility for the content, use or/and assessment of such information. The Information provided does not substitute the due diligence of the financial records nor in any way motivate or prevent from making a particular transaction, and should not constitute or be considered as a financial and/or other kind of advice from TIRESIAS to the Customer. TIRESIAS does not warrant the accuracy, correctness and completeness of the Information provided and may not be held liable for indexes generated based on inaccurately published financial data.
INTERNATIONAL CREDIT REPORTS
- The Customer may obtain from CREDITREFORM UK LTD (Creditreform), through the TSEK Platform, reliable Credit Reports relating to foreign legal entities (International Credit Reports) in order to evaluate their solvency and credit rating. International Credit Reports are obtained from the competent international credit bureaus through Creditreform and may contain data which identifies the corporate identity and enterprise’s details (e.g. legal name, contact information, legal form, year of establishment, initial capital, shareholders, object, branch of activity, sales data, balance sheets, profit and loss, Government Gazette and Companies Registry data, legal representation, offered products or services, distribution channel) as well as other data such as solvency ratios, negative economic data, number of stuff and annual sales information for up to three (3) years etc. The provided International Credit Reports cover legal entities from 89 countries among which 42 are European.
- International Credit Reports are made available both online and offline as defined below.
- Through the TSEK Platform the Customer can search for the foreign company for which is interested in receiving the aforementioned International Credit Report, which will be forwarded directly to the Customer’s email address by Creditreform (online).
- Regarding the countries for which direct online access is not possible, the Customer may order the International Credit Report through the TSEK Platform and TIRESIAS shall forward the relevant request in the name and on behalf of the Customer to Creditreform. The latter shall return the report to TIRESIAS and TIRESIAS shall forward it to the Customer after having saved it and converted it into non-editable form. TIRESIAS shall keep record of the International Credit Reports for one (1) year so as to ensure Customer service and support whereas the data regarding the Customer’s request shall be held for six (6) months after the completion of the assigned to TIRESIAS project.
- TIRESIAS shall not be held liable for the content of the International Credit Reports. The International Credit Reports shall be provided to the Customer in accordance with the applicable terms and conditions regarding their provision by Creditreform and in any event that personal data within the meaning of Article 4, par. 1 of the General Data Protection Regulation (EU) 2016/679, is transmitted through the International Credit Report, the Customer must fully comply with the provisions of the Regulation and in general the applicable legislation regarding personal data protection.
AUTOMATED PROVISION OF FINANCIAL INFORMATION OF BALANCE SHEET- BALANCE SHEET FLEX API SERVICE
- Through the TSEK Platform and the Balance Sheet Flex API Service, the Customer may request the automated (application to application) provision of a) published in GEMI or on the enterprises’ websites financial figures of balance sheets that had been indexed by TIRESIAS and kept in its database, in detailed or summary form and b) general information relating to the enterprise concerned (hereinafter collectively referred to as "balance sheet data").
These queries are carried out through predefined messages which, after completion of the required information by the Customer's authorized user, are forwarded as requests to TIRESIAS.
Each request shall contain, according to its predefined form, specific data such as the VAT number, the fiscal year of balance sheet, the Group or Enterprise, the detailed or in brief/ summary of balance sheet.
- Access to the Balance Sheet Flex API Service is granted upon designation of an authorized user through the TSEK administrative interface by the Customer’s Web officer.
- Detailed terms and conditions of connection and use of the Balance Sheet Flex API Service are set out in the Connection and Use Guide which is issued to the Customer upon engagement in the present Service.
- The Customer explicitly declares and warrants that: a) the IP address through which access to the balance sheet data has been or will be requested is on the sole and exclusive responsibility of the Customer, b) the balance sheet data are available exclusively to the Customer and c) all appropriate technical and organizational measures have been taken by the Customer to ensure the above.
- The Customer acknowledges that: a) the balance sheet data deriving from TIRESIAS database at the time of the search, based solely on the published balance sheet figures of the enterprise to which the balance sheet refers, without any additional qualitative or quantitative information and/or assessment; b) TIRESIAS does not warrant the accuracy, correctness and completeness of the balance sheet data or their suitability for a specific purpose, nor may be held liable for any inaccurately published financial data; c) the balance sheet data provided through the Balance Sheet Flex API Service are freely assessed by the Customer at their discretion and TIRESIAS bears no responsibility for the content, use or/and assessment of such data; d) the balance sheet data are provided solely for informative purposes and do not in any way motivate or prevent from making a particular transaction, and should not constitute or be considered as a financial and/or other kind of advice from TIRESIAS to the Customer, and do not substitute, under any circumstances, the due diligence of the financial records of the Customer.
VALIDITY - TERMINATION - DISCONTINUATION
- The present terms are valid from the date of their acceptance and for as long as the Customer holds an active usage package with available balance or service in progress (e.g. alert), unless terminated by one of the parties, as defined in the following paragraphs. The lapse of the 12-month period from purchase without active services and the use of the usage packet without the activation of a new one by the Customer’s Web Officer within two (2) months after the usage package has been used, shall result in the automatic disconnection.
TIRESIAS can terminate the connection of the Customer without observing a time limit due for breach by his/her part (of the Customer) of the present terms, all of which are agreed to be material.
- Exceptionally, the Customer is entitled to request in writing his/her disconnection from the TSEK system within one month of notification to the Customer of any change, restriction, deletion of the Information and amendment to the terms hereof, but also in case of problems of access and/or interruption of the System exceeding cumulatively twenty-five (25) hours within 12 months of purchase, provided that the aforementioned total of twenty-five (25) hours took place in working days and working hours of the System (i.e. from 8:00 to 21:00).
- In the event of disconnection due to Customer’s fault, the prepaid cost shall not be refunded, without any further right to indemnification of TIRESIAS, in accordance with the provisions of this contract and the law. In the event of disconnection by the Customer for the aforementioned limited reasons, the Customer may request from TIRESIAS the interest-free refund of the lower of either: a) the portion of purchase price paid and corresponding (equally distributed) over the remaining period up to completion of the 12-month period (package cost X remaining in days/365) or b) the unused price.
- The connection shall automatically be terminated in the event that either of the parties is declared bankrupt or is wound up or is subject to administrative receivership or similar proceedings without reimbursement of the price.
OTHER TERMS
- TIRESIAS shall not be held liable for any technical problems with regard to accessibility to the Information or for eventual (partial or total) disabling of the TSEK System for any reason. In such cases, it will make every effort to restore as quickly and fully as possible the uninterrupted access and/or operation of the System.
- TIRESIAS reserves the right to suspend temporarily the operation of the whole or part of the System for maintenance, upgrade, adaptation etc. purposes or permanently for any other reason. In this case, the Customer will receive electronically a reasonable notice and he/she will reserve the right to discontinue and receive a refund, in accordance with the provisions of the present terms.
- TIRESIAS makes every effort to protect the System from viruses. However, the Customer shall care for his/her own protection by using antiviruses, etc.
- TIRESIAS takes all appropriate measures to secure the data of its File and the data of the Customer, in accordance with the Privacy Policy. (link at https: //tsek.teiresias.gr/el/Home/PrivacyPolicy)
- Authorisation documents forwarded to TIRESIAS by the Customer shall be complete and true and reflect the legal entity’s-Customer’s sole and applicable representation, and in case of a change in the representation or his/her overall authorization, the Customer shall undertake to forward to TIRESIAS without delay the new authorization documents. A same obligation applies for any change regarding the use of TSEK system (change of web officer, users, etc.). Until TIRESIAS becomes aware of the change in the Customer’s representation, etc., pursuant to the preceding paragraph, the actions of the most recent legal representatives shall be binding upon the Customer towards TIRESIAS.
- The violation of the present terms by the Customer, and more specifically the use of the System by a non-authorized person, misuse or data leakage attributable to its users, leads to the immediate discontinuation of the access to it (without compensation), and the claim of TIRESIAS to restore its direct or indirect damages related to it.
- TIRESIAS reserves the right to amend the present terms at any time by providing the Customer electronically with a reasonable notice. Without prejudice to any specific provisions thereto, the validity of the amendments made shall take effect after the purchase of the next (new) package. In any case, the connection to the TSEK system implies unconditional acceptance of the Terms of Use, as they are in force at the time of purchase.
- Any notice to the Customer shall be made validly to his/her declared and indicated electronic address in his/her request for connection, unless another contact method is declared in writing to TIRESIAS.
- Since the CUSTOMER agrees that TIRESIAS will send to it in any way (electronic, postal, telephone, etc.) information and promotional material in relation to its existing and new services, market surveys, customer satisfaction surveys, etc., he/she should give his/her relevant consent electronically.
- It is expressly agreed that TIRESIAS may integrate the Customer into its clientele list to attract new customers.
- Any invalidity of any terms thereof shall not affect the validity of the other terms.
- The present terms are governed by Greek Law. The resolution of a dispute that may arise in relation to these terms will be subject to the exclusive jurisdiction of the courts of Athens.
- Both the Customer and TIRESIAS shall not be liable for the non-fulfilment or non-proper fulfilment of their obligations, pursuant to the present terms, if the non-fulfilment or non-proper fulfilment is due to force majeure.

CORPORATE SOCIAL RESPONSIBILITY
TERMS OF CONNECTION
DONATIONS TO PUBLIC ORGANIZATIONS AND INSTITUTIONS through TSEK service
- TIRESIAS aims at the dissemination of corporate social responsibility and within its role as a public interest support organization, enables its CUSTOMER, if he/she so wishes, to provide financial support to charities and foundations, hereinafter referred to as "BENEFICIARY ORGANIZATIONS", each mentioned in the link: https://tsek.teiresias.gr/en/tsekplatform/donations In this case, TIRESIAS will increase the balance of the CUSTOMER'S account in the TSEK system with an amount equal to 20% of the amount of the donation made, the amount of which will be selected by the CUSTOMER from the options available on the above site. This additional amount may be spent until the CUSTOMER'S current package expires. Exceptionally, if the donation takes place at the end of the usage period of the packet, a three-month extension of the usage period of the packet will be provided.
- The payment of the donation chosen by the CUSTOMER will be made directly to the BENEFICIARY ORGANIZATION by using the paybybank payment service of the payment institution under the name WORLDBRIDGE-PAYMENT FOUNDATION SA (hereinafter referred to as Paylink), operated under the supervision of the Bank of Greece, through which a payment code is generated and granted to the CUSTOMER to make the relevant payment to the BENEFICIARY ORGANIZATION. Further information on the above service may be obtained by the CUSTOMER at www.paybybank.gr. The payment of Paylink's commission for the use of the service by the CUSTOMER is borne by TIRESIAS.
- With the exception of all mentioned in para. 1 of this document, TIRESIAS shall assume no liability or obligation towards the CUSTOMER or the BENEFICIARY ORGANIZATION related to the possibility of financial support of the latter by the CUSTOMER. THE BENEFICIARY ORGANIZATION in any case remains responsible for the issue of the legal documentation for the donation made
- Paylink will inform TΙRESIAS of the execution of the payment order by the CUSTOMER to the BENEFICIARY ORGANIZATION, as well as of any denial thereof for the purposes of monitoring and clearing the commission due to it, as well as for the increase of the CUSTOMER’S balance in accordance with para. 1 hereof. In this context, Paylink will transmit the CUSTOMER’s data (surname or company name, transactions and BENEFICIARY ORGANIZATION) to TIRESIAS, and TIRESIAS will keep them as defined in the privacy policy for the above purposes only and will treat them as private and confidential.
